Welcome to NexLive! These Terms of Service (“Terms”) govern your access to and use of the NexLive mobile application, website, and related services (collectively, the “Service”). By accessing or using NexLive, you agree to be bound by these Terms.

## 1. Acceptance of Terms
By creating an account, accessing, or using NexLive, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
### 1.1 Eligibility
– You must be at least **18 years of age** to use NexLive
– If you are between 13-17 years old, you may only use the Service with parental or legal guardian consent
– You must not be prohibited from using the Service under applicable laws
– You represent that all information you provide is accurate and current
### 1.2 Account Registration
– You must register for an account using accurate information
– You are responsible for maintaining the confidentiality of your account credentials
– You are responsible for all activities that occur under your account
– You must immediately notify us of any unauthorized use of your account

## 2. User Roles and Applications
### 2.1 User Types
NexLive has three primary user types:
1. **Regular Users**: Standard users who can view content, send gifts, and participate in chats
2. **Listeners**: Approved users who can receive video/audio calls and earn from talk time
3. **Creators**: Approved users who can create content, live stream, and earn from gifts
### 2.2 Application Process
**Listener Applications:**
– Requires payment of **1,000 diamonds** application fee
– Fee is **refundable** if application is rejected
– Fee is **non-refundable** if application is approved or withdrawn by applicant
– Applications are subject to review and approval by NexLive
– We reserve the right to reject any application without providing reasons
**Creator Applications:**
– Requires payment of **1,000 diamonds** application fee
– Same refund policy as Listener applications
– Must comply with content guidelines and quality standards
– Subject to ongoing performance review
### 2.3 Application Review
– Review process may take 3-7 business days
– We may request additional information or verification
– Approval is at our sole discretion
– Rejected applicants may reapply after 30 days

## 3. Virtual Currency (Diamonds)
### 3.1 Purchase of Diamonds
– Diamonds are virtual currency used within NexLive
– Diamonds can be purchased through Google Play Billing or other approved payment methods
– All diamond purchases are **final and non-refundable** except as required by law
– Diamond packages available:
– 150 Diamonds
– 300 Diamonds
– 750 Diamonds
– 1,500 Diamonds
– 3,000 Diamonds
– 7,500 Diamonds
### 3.2 Diamond Usage
Diamonds can be used for:
– Sending virtual gifts to Listeners and Creators
– Subscribing to global chat access (70 diamonds/week)
– Paying for live streaming viewing time (1 diamond/minute)
– Paying for live streaming as a broadcaster (1 diamond/minute)
– Paying for Listener video/audio calls (25 diamonds/minute)
– Application fees for Listener/Creator status (1,000 diamonds)
### 3.3 Diamond Balance Types
– **Balance**: Available diamonds for spending
– **Earned Balance**: Diamonds earned from gifts, calls, or streaming (Listeners/Creators only)
– **Locked Balance**: Diamonds locked for pending applications
### 3.4 No Cash Value
– Diamonds have no cash value and cannot be exchanged for cash except through our official withdrawal system
– Diamonds cannot be transferred between users
– Unused diamonds do not expire but may be forfeited upon account termination

## 4. Earnings and Withdrawals
### 4.1 Earning Diamonds
**Listeners can earn from:**
– Video/audio calls with users
– Virtual gifts received during calls
– Talk time accumulation
**Creators can earn from:**
– Virtual gifts on live streams
– Virtual gifts on short videos
– Virtual gifts on trending posts
– Virtual gifts on quotes
– Virtual gifts in chat conversations
### 4.2 Withdrawal System
**Eligibility:**
– Must have approved KYC (Know Your Customer) verification
– Minimum withdrawal: **1,000 diamonds**
– Diamonds are converted at the rate of **1 diamond = ₹0.55 INR**
**Payment Methods:**
– **UPI** (for Indian users)
– **PayPal** (for international users)
**Processing:**
– Withdrawal requests are reviewed within 3-7 business days
– Payments are processed within 7-14 business days after approval
– We reserve the right to reject suspicious or fraudulent withdrawal requests
### 4.3 Tax Deductions (India)
For Indian users using UPI:
– **10% TDS (Tax Deducted at Source)** is applied if total withdrawals in a financial year (April-March) reach or exceed **₹30,000 INR**
– Once the threshold is crossed, TDS applies to the **entire current withdrawal**
– TDS compliance follows Indian Income Tax regulations
– Users are responsible for filing appropriate tax returns
### 4.4 Withdrawal Restrictions
We may suspend or reject withdrawals if:
– KYC verification is incomplete or invalid
– Suspicious activity is detected
– Account is under investigation
– Violation of Terms of Service
– Fraudulent earning patterns detected

## 5. Live Streaming and Video Calls
### 5.1 Live Streaming
**Broadcasters:**
– Must be approved Creators or Listeners
– Pay **1 diamond per minute** while streaming
– Are responsible for all content broadcast
– Must comply with Community Guidelines
**Viewers:**
– Pay **1 diamond per minute** while watching
– Can send virtual gifts to broadcasters
– Must behave respectfully in live chat
### 5.2 Listener Calls
– Users can initiate video/audio calls with approved Listeners
– Cost: **25 diamonds per minute**
– Billing occurs every 60 seconds of accumulated call time
– Calls automatically disconnect if user has insufficient diamonds
– Listeners earn talk time (in seconds) for each call
### 5.3 Agora RTC Service
– Live streaming and calls are powered by Agora RTC technology
– By using these features, you agree to Agora’s terms and policies
– We are not responsible for technical issues with Agora services
– Call quality depends on your internet connection

## 6. Content and Conduct
### 6.1 User-Generated Content
You retain ownership of content you create, but grant NexLive:
– A worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your content
– The right to use your content for promotional purposes
– The right to moderate, remove, or restrict access to your content
### 6.2 Prohibited Content
You must not post, upload, or transmit content that:
– Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
– Contains nudity, pornography, or sexually explicit material
– Promotes violence, discrimination, or hatred
– Infringes intellectual property rights
– Contains malware, viruses, or harmful code
– Impersonates any person or entity
– Contains spam or unsolicited advertising
– Exploits or harms minors in any way
### 6.3 Prohibited Conduct
You must not:
– Use the Service for any illegal purpose
– Harass, bully, or threaten other users
– Manipulate or exploit the diamond system
– Create fake accounts or use bots
– Attempt to hack, reverse engineer, or compromise the Service
– Scrape, data mine, or extract user information
– Circumvent any security features
– Engage in fraudulent activities
– Sell or transfer your account
### 6.4 Content Moderation
– We reserve the right to review, moderate, or remove any content
– We may use automated systems and human moderators
– Content removal does not entitle you to refunds
– Repeated violations may result in account suspension or termination

## 7. Advertising
### 7.1 Ad Display
– NexLive displays advertisements from Google AdMob and Meta Audience Network
– Ads may appear between content, during navigation, or as interstitials
– Ad frequency is managed to balance user experience and revenue
### 7.2 Rewarded Ads
– Users may watch rewarded video ads to earn bonus diamonds
– Rewards are granted only upon successful ad completion
– We are not responsible if ad networks fail to deliver rewards
– Abuse of rewarded ad system may result in account suspension
### 7.3 Third-Party Advertisers
– Advertisers are third parties and not affiliated with NexLive
– We are not responsible for advertiser content or offers
– Interactions with advertisers are at your own risk

## 8. Subscriptions
### 8.1 Chat Subscription
– Cost: **70 diamonds per week**
– Grants access to all global chat rooms
– Automatically expires after 7 days
– Non-refundable once purchased
– Does not auto-renew; must be manually renewed
### 8.2 Subscription Management
– You can check subscription status in your account settings
– Expired subscriptions require repurchase
– No partial refunds for unused subscription time

## 9. Intellectual Property
### 9.1 NexLive Property
All rights, title, and interest in the Service, including:
– Software, code, and technology
– Trademarks, logos, and branding
– Design, layout, and user interface
– Proprietary algorithms and features
are owned by NexLive and protected by intellectual property laws.
### 9.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes, subject to these Terms.
### 9.3 Restrictions
You may not:
– Copy, modify, or create derivative works
– Reverse engineer or decompile the Service
– Remove copyright or proprietary notices
– Use our trademarks without permission

– **Firebase** (Google) – Authentication, database, cloud functions
– **Agora** – Real-time video/audio communication
– **Cloudflare R2** – Media storage
– **Google AdMob** – Advertising
– **Meta Audience Network** – Advertising
– **Google Play Billing** – Payment processing

## 11. KYC (Know Your Customer)
### 11.1 KYC Requirement
To withdraw earnings, you must complete KYC verification by providing:
– Full legal name
– Date of birth
– Government-issued ID proof
– Address proof
– Payment method details (UPI ID or PayPal email)
– Selfie for identity verification
### 11.2 KYC Verification
– KYC submissions are reviewed within 3-7 business days
– We may request additional documentation
– Approval is at our sole discretion
– False or fraudulent information results in permanent account ban
### 11.3 Data Security
– KYC data is encrypted and stored securely
– Used only for verification and compliance purposes
– Not shared with third parties except as required by law

## 12. Payments and Refunds
### 12.1 Payment Processing
– Payments are processed through Google Play Billing
– All prices are in Indian Rupees (INR) or local currency
– Prices may change without notice
– You are responsible for any taxes or fees
### 12.2 Refund Policy
**General Policy:**
– All diamond purchases are **final and non-refundable**
– No refunds for used or partially used diamonds
– No refunds for gifts sent or subscriptions purchased
**Exceptions:**
– Technical errors that prevent diamond delivery
– Unauthorized transactions (subject to investigation)
– Application fees for rejected Listener/Creator applications
– As required by applicable law
### 12.3 Chargebacks
– Initiating a chargeback may result in account suspension
– We reserve the right to pursue legal action for fraudulent chargebacks
– Legitimate disputes should be reported to our support team first

## 13. Account Termination
### 13.1 Termination by You
You may delete your account at any time through app settings. Upon deletion:
– Your account and profile will be permanently removed
– Unused diamonds will be forfeited
– Earned balance may be withdrawn if KYC is approved
– Content may remain on the platform if already distributed
### 13.2 Termination by Us
We may suspend or terminate your account if:
– You violate these Terms or Community Guidelines
– You engage in fraudulent or illegal activities
– Your account is inactive for extended periods
– Required by law or legal process
– At our sole discretion for any reason
### 13.3 Effect of Termination
Upon termination:
– Your license to use the Service is revoked
– Unused diamonds are forfeited
– Pending withdrawals may be processed or rejected
– You must cease all use of the Service
– Certain provisions of these Terms survive termination

## 14. Disclaimers and Limitations
### 14.1 Service “As Is”
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
– Merchantability, fitness for a particular purpose
– Non-infringement, accuracy, or reliability
– Uninterrupted or error-free operation
– Security or freedom from viruses
### 14.2 No Guarantee of Earnings
– We do not guarantee any specific earnings for Listeners or Creators
– Earnings depend on user engagement, content quality, and market factors
– Past performance does not indicate future results
### 14.3 Third-Party Services
– We are not responsible for third-party services (Agora, Firebase, payment processors)
– Third-party service failures do not entitle you to refunds or compensation
– You use third-party services at your own risk
### 14.4 User Interactions
– We are not responsible for user conduct or content
– Interactions with other users are at your own risk
– We do not verify user identities or backgrounds
– We are not liable for disputes between users

## 15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
### 15.1 Exclusion of Damages
NexLive and its affiliates, officers, directors, employees, and agents SHALL NOT BE LIABLE FOR:
– Indirect, incidental, special, consequential, or punitive damages
– Loss of profits, revenue, data, or goodwill
– Service interruptions or data loss
– User content or conduct
– Third-party actions or services
### 15.2 Liability Cap
Our total liability for any claims arising from or related to the Service shall not exceed:
– The amount you paid to NexLive in the 12 months preceding the claim, OR
– ₹10,000 INR ($120 USD), whichever is less
### 15.3 Jurisdictional Limitations
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

## 16. Indemnification
You agree to indemnify, defend, and hold harmless NexLive and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:
– Your use of the Service
– Your violation of these Terms
– Your violation of any rights of another party
– Your content or conduct
– Your breach of applicable laws

## 17. Dispute Resolution
### 17.1 Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles.
### 17.2 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts located in India for resolution of any disputes.
### 17.3 Arbitration (Optional)
For disputes under ₹5,00,000 INR, parties may agree to binding arbitration under the Indian Arbitration and Conciliation Act, 1996.
### 17.4 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class actions or collective proceedings.

– Modify, suspend, or discontinue any feature
– Change pricing or diamond packages
– Update diamond conversion rates
– Alter earning structures
– Add or remove payment methods
### 18.3 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
### 18.4 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and NexLive.
### 18.5 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
### 18.6 Assignment
You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.
### 18.7 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, government actions, etc.).
